Fintech Stripe Acquires Online Legal Platform Clerky

Stripe has acquired Clerky, the online legal platform long used by high-growth startups and their lawyers for incorporation and routine corporate paperwork. The deal expands Stripe’s reach beyond payments and Stripe Atlas into the legal workflows that accompany company formation, fundraising, hiring, and ongoing governance.

Financial terms were not disclosed.

Clerky was founded in 2011 by former startup attorneys Darby Wong and Chris Field.

Their goal was to let founders and counsel complete standard documents quickly and cleanly so that later due diligence would not turn up sloppy or incomplete records.

The service handles Delaware C-corporation formation (including public-benefit corporations), SAFEs and convertible notes, board consents, equity grants, hiring paperwork, and other recurring corporate actions.

It is positioned as a document platform rather than a law firm.

The company has become a fixture in the venture ecosystem.

Clerky-formed startups account for 23 percent of Silicon Valley seed and pre-seed financings and have collectively raised more than $140 billion.

Hundreds of attorneys and paralegals now run client work through the platform.

Formation volume on Clerky grew 6.5 times faster in the past year than the company’s historical average.

Stripe Atlas, launched in 2016, already lets founders incorporate a Delaware company, obtain an EIN, issue founder equity, file an 83(b) election, and generate SAFEs before moving into banking and payments.

Clerky adds greater customization, support for public-benefit corporations, and a lifetime document library that continues after incorporation.

Bringing Clerky in-house lets Stripe meet founders earlier—during incorporation, fundraising, and first hires—rather than waiting until a company needs payment processing.

Both sides emphasize continuity.

Clerky will keep the same team and the same focus on high-growth startups and their attorneys.

Users have been told that service levels and the existing product will remain unchanged for now. Wong noted cultural and mission overlap with Stripe: both organizations are obsessed with making life easier for startups.

He also recalled an early personal connection—filing a charter amendment that changed a client’s name from “slash dev slash payments” to Stripe, and later receiving an unsolicited investor introduction from Stripe co-founder Patrick Collison when Clerky itself was getting started.

Analysts see the purchase as a way for Stripe to deepen its founder infrastructure.

Legal workflows and attorney relationships give Stripe another on-ramp into companies that may later use Atlas, banking, or payments.

The combination also extends Stripe’s involvement from the first corporate filing through later financings, option grants, and governance events. No immediate pricing or product changes have been announced. Clerky’s existing lifetime package and document library continue to operate as before while the two teams begin working together.
