Startup Essentials: Crowdfunding – Webinar

he long-awaited federal framework for equity crowdfunding to non-accredited investors goes into effect on May 16, 2016, just over four years after passage of the JOBS Act. Many are unaware, however, that there are at least six distinct types of crowdfunding in the U.S. that are available to startups in need of capital, each governed by different (and sometimes overlapping) regulatory regimes.

Join us for a free 75-minute webinar in which Joe Green, Practical Law’s Senior Legal Editor for startups and venture capital, provides an overview of the different types of crowdfunding and discusses key considerations for startup founders and their advisers when considering whether to conduct a crowdfunding offering.

In this program, attendees will:

  • Gain an understanding of the main features, costs, benefits and drawbacks of different types of crowdfunding, including: rewards crowdfunding, accredited crowdfunding, federal crowdfunding, state “blue sky” crowdfunding and “mini” public offerings.
  • Obtain an overview of the regulatory framework for these types of crowdfunding, including: Securities Act Section 4(a)(2) and Regulation D, Securities Act Section 4(a)(6) and Regulation Crowdfunding, Securities Act Section 3(a)(11) and Rule 147, and Regulation “A+”.
