AngelList, CoinList Partner on Crypto SPVs

AngelList, an online capital formation platform that focuses on syndicate offerings, is partnering with CoinList to enable Special Purpose Vehicle (SPV) investing for crypto or Crypto SPVs.

AngelList and CoinList are related as they are sister platforms. CoinList started its existence as a US-focused coin offering platform but had to adjust and adapt when the US market became a bit dicey. The regulatory environment is expected to improve under the Trump administration.

In a recent blog post, AngelList indicated it was launching “Crypto SPVs.”

These Crypto SPVs can be funded with stablecoins (USDC/USDT), and the collaboration is said to be compatible with many non-USA token issuers and investors.

AngelList highlights its RUVs or Roll Up Vehicles that support issuers in managing the challenges of smaller investors onto their cap table.

AngelList is a securities trailblazer that received a key no-action letter from the SEC that allowed it to offer securities under Reg D 506c for accredited investors (new Reg D that allows general solicitation). AngelList has sought to automate much of the investment process, removing intrinsic friction for securities offerings under Reg D. It seems they are looking to do the same for tokenized offerings.

Since 2013, AngelList reports over $5 billion in online capital formation via 72,000 syndicate LPs. These same syndicates will soon be able to tap the Crypto SPVs
