SEC Small Business Capital Formation Advisory Committee Schedules Meeting for May 8th

The Securities and Exchange Commission (SEC) Small Business Capital Formation Advisory Committee has scheduled a video conference to discuss proposals designed to improve the exempt securities ecosystem as well as the impact of the COVID-19 pandemic on small businesses. The meeting, which is open to the public, will take place on May 8, 2020, from 1PM to 4PM ET.

The SEC’s proposal includes amendments to simplify, harmonize, and improve certain aspects of the framework to promote capital formation while preserving or enhancing important investor protections. The possible enhancements include Reg CF, Reg A+ as well as Reg D along with other current criteria such as the definition of an accredited investor.

The Committee was established to provide the Commission with advice and recommendations on Commission rules, regulations, and policy matters relating to small businesses, from privately-held emerging companies to smaller public companies. The Committee has recently informed the Commission on a number of pertinent rulemaking and policy priorities, providing valued marketplace feedback into the regulatory process.
