StartEngine, a prominent online marketplace for private securities, has filed to raise more funds under Regulation A (Reg A). StartEngine has launched multiple securities offerings under the exemption to support platform growth. Securities issued under Reg allow anyone to participate.
According to the Offering Circular, which has yet to be qualified, StartEngine is aiming to raise up to 45,600,000 at a share price of $1.60. The company’s valuation is set at around $2 billion. The minimum investment to participate in the offering is $500.80.
StartEngine’s marketplace allows investors to participate in exempt securities under Reg CF, Reg A, and Reg D. Reg D offerings, primarily secondary transactions, have become the primary driver of the platform’s revenue. The company creates vehicles for investors to participate in promising private firms by purchasing shares and reselling via an SPV.

A portion of the funds raised may go to selling shareholders. The document states that “certain stockholders of the Company intend to sell up to 30% shares of Common Stock in this offering, plus up to 20% Bonus Shares or up to $11,400,000 in gross proceeds in cash. The gross proceeds raised in this offering will be split as follows: 30% to the selling stockholders (on a pro-rata basis) and 70% to the Company.
StartEngine has continued to offer new features and services, most recently through the acquisition of Vinovest, a wine-investing marketplace.
StartEngine had a profitable year in 2025. The company reported net income of $1,472,852 on revenue exceeding $109 million, compared with a loss of approximately $16.5 million in 2024.
The first quarter of 2026 delivered a loss of $2.23 million versus a profit in the same quarter in 2025.
