Atlanta-Based Georgia Banking Company Files for Nasdaq Direct Listing

Georgia Banking Company, an Atlanta-based bank holding company, filed with U.S. regulators to list its shares directly on the Nasdaq Capital Market, according to a registration statement filed on Friday.

The company said existing shareholders are seeking to register the resale of up to 7.04 million shares of common stock under the proposed ticker symbol “GBC.”

The offering will not involve the issuance of new shares by Georgia Banking Company, and the company will not receive proceeds from any sales by the registered shareholders.

The proposed transaction is structured as a direct listing rather than a traditional underwritten initial public offering. Performance Trust Capital Partners is serving as financial adviser to the company in connection with the listing.

Georgia Banking Company said its common stock has no established public trading market. Shares have traded in private transactions, including a private placement in 2026 in which 2.3 million primary and secondary shares were sold at $30 each.

The company said it expects the Nasdaq listing to provide a public market for its common stock and greater liquidity for existing shareholders, while allowing it to avoid issuing additional shares as part of the listing.

Georgia Banking Company operates through its banking subsidiary and provides commercial, community, and private banking services, as well as commercial real estate lending, mortgage warehouse financing, and treasury management services.

Its operations are focused primarily on the Atlanta-Sandy Springs-Roswell metropolitan area.

As of June 30, the company had about $3.3 billion in total assets, $2.6 billion in loans, and $2.8 billion in deposits. It operated 10 full-service banking offices and three loan production offices in the Atlanta area and had 275 employees.

For the 12 months ended June 30, Georgia Banking Company reported revenue of about $172 million and net income of $28.65 million, according to financial information contained in the filing.

The bank has expanded through acquisitions, including Georgia Primary Bank, which it acquired in March 2025, and Tandem Bank, acquired in June 2026.

Georgia Banking Company said the Atlanta metropolitan area had approximately $239.8 billion in deposits as of June 30, 2025. The company estimated that it accounted for about 1.13% of deposits in the market as of June 30, 2026.

The proposed listing remains subject to Nasdaq’s approval and the effectiveness of the registration statement filed with the U.S. Securities and Exchange Commission.
