OpenPayd is aiming to reach the Nasdaq before the end of 2026 and to use that listing to pay for a US build-out and further deals, according to comments from chief executive Iana Dimitrova reported on 3 and 4 October.
The London payments-infrastructure company is combining with Titan Acquisition Corp., a special-purpose acquisition company already known in the market as a vehicle for taking a private business public.
Dimitrova said the US Securities and Exchange Commission’s (SEC) review of that merger is in its last phase.
She expects the transaction to finish this year unless a major outside disruption intervenes.
Closing still depends on the registration statement becoming effective, on a vote by Titan shareholders, and on other standard conditions.
After the combination, the business would trade under the ticker OP.
Reported terms put the implied pro-forma equity value at about $1.1 billion, with earlier company figures describing a ceiling of up to $1.145 billion.
If Titan’s public shareholders do not redeem, gross proceeds available from the trust have been described as up to about $276 million.
Management has framed the debut as a funding tool rather than an end in itself.
Proceeds are intended first for American expansion. OpenPayd is targeting a launch of services for US customers by April 2027.
A public listing would also give it traded stock that could be used as consideration in later transactions and partnerships, which matters for a firm that wants to add capabilities without building every piece itself.
Dimitrova said the company is looking at targets that already hold licenses or technology, so it can enter markets faster than it could by constructing those capabilities from scratch.
She added that OpenPayd is also weighing a private placement to raise growth capital before the merger closes.
The US timetable rests partly on a step taken in September.
The group brought MSB USA Inc. inside its structure, adding money-transmitter licenses covering 43 states.
That footprint supplies a regulated base for domestic operations that would otherwise have required separate applications in each state, a process that typically stretches over years.
MSB USA was founded by OpenPayd founder Ozan Ozerk, so the license deal sits inside a broader set of related businesses rather than as an unrelated purchase.
OpenPayd provides accounts, foreign exchange, domestic and cross-border payments, and infrastructure that connects traditional currencies with stablecoins.
Its clients include Kraken, eToro, OKX and B2C2.
It has linked to Circle’s payments network for cross-border flows and joined Fireblocks’ network, where other participants can reach its fiat rails.
Dimitrova has described the business as infrastructure for modern money movement and has argued that no listed rival currently combines fiat and stablecoin functions in the same way.
That positioning is central to how the company is presenting itself to public-market investors.
Figures cited alongside the October reports show revenue of $73 million for the year ended 30 April 2026, up from $57 million the year before, with EBITDA of $13 million.
The same year produced a net loss of $2.8 million.
A company spokesperson said that loss was entirely accounted for by $5.8 million of one-time costs tied to the proposed combination.
Separate company updates have put annualized recurring revenue above $96 million as of 31 July and annualized transaction volume above $300 billion, with more than 1,200 clients.
The October comments narrow a plan first set out when OpenPayd and Titan signed their combination agreement in June. What is new in the latest reporting is the year-end closing expectation, the April 2027 US service target, and the explicit plan to use listing capital and public shares for further acquisitions as well as for the American rollout.
Those points remain subject to regulatory effectiveness and shareholder approval, so the debut and the US launch are still targets rather than completed events.
