BlackRock Submits SEC Filing for Bitcoin ETF Designed for Partial Downside Buffer Alongside Capped Upside

On October 19, 2026, iShares Trust, advised by BlackRock Fund Advisors, filed a post-effective amendment to its registration statement with the U.S. Securities and Exchange Commission (SEC) for a proposed new series named the iShares Bitcoin Managed Protection ETF, intended to trade under the ticker PBIT.

The preliminary prospectus states that the fund seeks to deliver upside participation linked to the iShares Bitcoin Trust ETF (IBIT) or comparable bitcoin reference assets, subject to an approximate upper limit on gains, while aiming to establish a measure of protection against declines.

The product would not purchase bitcoin or bitcoin exchange-traded products outright.

Exposure would instead be constructed primarily through options positions, specifically long call spreads referencing IBIT or similar assets, held alongside cash, money-market instruments, short-term government obligations, and other investment-grade fixed-income securities.

The strategy generally contemplates three overlapping tranches of options with staggered monthly start dates spanning roughly a calendar quarter, so that one tranche expires and is replaced each month.

Flexible Exchange Options are expected to be the primary instrument, though standardized options may also be used.

For each tranche, the approach typically involves buying in-the-money call options whose strike is set near 90 percent of the reference asset’s value at the outset of the position.

This establishes an initial maximum loss exposure of approximately 10 percent for that tranche before fees and expenses—the level described as the Floor.

Simultaneously, the fund would sell out-of-the-money calls at a higher strike to help offset the cost of the purchased options; the sold strike determines the approximate ceiling, or Tranche Cap Value, on upside participation for that tranche.

The prospectus notes that the manager retains broad discretion to adjust the protection start value, the floor, the number of tranches, and the cap levels based on market conditions.

Because multiple overlapping positions are held, shareholders would not experience a single fixed floor or cap across the entire portfolio.

Protection also evolves after a tranche begins: if the reference asset rises, subsequent downside measured from the new higher level can exceed the initial floor.

Fees, expenses, and any adjustments further reduce potential gains and can increase losses.

The document emphasizes that there is no assurance the strategy will achieve its objective and that investors may lose some or all of their capital.

The filing proposes that the amendment become effective 75 days after submission, subject to the usual regulatory processes and possible further amendments.

Management fees, the listing exchange, and a confirmed launch date are left blank in the preliminary materials.

Portfolio managers named for the fund are Erin Armstrong, Kyle McClements, and Richard Mejzak.

The proposed vehicle would expand BlackRock’s existing bitcoin product suite. IBIT, launched in January 2024, continues as the largest US spot bitcoin ETF by assets.

Separately, the firm introduced an options-income product earlier in 2026.

The new protected structure is positioned for investors seeking moderated exposure rather than full participation in bitcoin’s price swings.

Market data released around the same period showed IBIT attracting roughly $665 million in net inflows on the prior trading day, its strongest single-day total since early October 2025.

That figure helped produce a net positive day for the broader U.S. spot bitcoin ETF complex even after partial offsets from other issuers, while spot ether ETFs recorded outflows.

Min Jung, associate researcher at Presto Research, observed that the inflows may reflect investors positioning for a possible catch-up move in bitcoin relative to other assets, though the precise drivers remain unclear amid range-bound prices near the low $80,000s and ongoing interest rate uncertainty.

The filing remains preliminary. Until the registration becomes effective, no shares can be offered or sold. Investors evaluating the product would need to review the final prospectus for updated terms, risks, and costs once available.
