Canton Coin Receives SEC No-Action Letter Treating It as a Digital Commodity

The U.S. Securities and Exchange Commission’s (SEC) Division of Corporation Finance has indicated that it regards Canton Coin, the native token of the Canton Network, as a digital commodity.

In a no-action response dated November 3, 2026, staff stated they would not recommend enforcement action if the token continues to be issued programmatically under the specific conditions outlined by the project’s counsel.

The letter responds to an October 30, 2026 submission on behalf of Digital Asset, the company behind the Canton Network. Canton is a privacy-oriented blockchain infrastructure aimed primarily at institutional financial applications, supporting tokenization, collateral management, and settlement with features designed for interoperability among regulated entities.

The network launched in mid-2024, and its native token has been distributed through protocol-based rewards tied to network participation rather than through any initial coin offering, pre-mine, or pre-launch sale.Staff grounded their position in representations submitted by counsel.

They noted that Canton Coin is intrinsically tied to the automated functioning of the Canton Network and to ordinary market supply-and-demand forces, rather than to any expectation that holders will profit from the core managerial or entrepreneurial efforts of a particular person or group.

They also accepted the description of the network as lacking a “central party” within the meaning of the Commission’s March 2026 interpretive framework on crypto assets.

That framework treats certain network tokens whose value derives from a functioning system and market dynamics as digital commodities outside the securities regime.

On that basis, the Division stated it would not advise the Commission to pursue enforcement if Super Validators, Validators, and application providers mint Canton Coin programmatically in the manner described, without registering the issuance under Section 5 of the Securities Act of 1933 or Section 12(g) of the Securities Exchange Act of 1934.

The token is used, among other things, to pay fees for the network’s Global Synchronizer coordination layer; those fees are burned, creating a link between network activity and token supply dynamics.

The staff emphasized the limited nature of the response.

It rests entirely on the facts and representations presented, and different circumstances could lead to a different outcome.

The letter reflects only an enforcement posture and does not constitute a formal legal determination that Canton Coin is not a security, nor does it create a binding rule applicable to other tokens.

Miles Jennings, a partner at Andreessen Horowitz’s a16z crypto practice, publicly welcomed the development.

He described the relief as significant evidence that the Commission’s March token taxonomy and subsequent staff guidance have established a workable route for network tokens to fall outside securities laws, characterizing such tokens as digital commodities. a16z led a $355 million funding round for Digital Asset earlier in 2026 to expand the Canton ecosystem.

The no-action letter supplies a concrete, fact-specific data point for projects that structure native tokens around programmatic network operations, decentralized governance requiring supermajority approval for protocol changes, and utility tied to fees or rewards rather than residual claims on an enterprise.

While the relief is narrow, industry observers have noted that it illustrates how the staff’s evolving framework may be applied to other blockchain networks that can demonstrate comparable characteristics.
