Canton Strategic Holdings Plans to Become Public Company With Tokenized U.S. Shares

The Securities and Exchange Commission’s (SEC) Innovation Exemption has established a temporary regulatory pathway intended to enable the tokenization of U.S. equities within domestic markets rather than relying on offshore structures.

Building on that development, Canton Strategic Holdings, Inc. (NASDAQ: CNTN) disclosed on October 29, 2026, that it has entered into arrangements with TSV LLC and Fairmint to become the initial publicly listed company offering its common shares for tokenized secondary trading under the exemption, with activity planned on the Canton Network.

Under the agreement, TSV LLC will serve as the permissioned venue dedicated to tokenized National Market System stocks operating on Canton.

Canton Strategic Holdings has retained Fairmint, an SEC-registered onchain transfer agent, to create issuer-sponsored tokens representing the company’s common stock.

These tokens are designed to confer identical rights and privileges to holders as those associated with CNTN shares traded on Nasdaq.

Fairmint’s subsidiary will issue the tokens, maintain the official onchain ownership ledger, and enforce compliance checks on every transfer.

Trading is anticipated to commence as soon as November 2, 2026, and is positioned as the first instance of its kind under the SEC’s rules governing onshore tokenization of U.S. equities.

TSV intends to integrate the tokenized shares into its automated market maker system, which relies on the Tradecraft protocol.

This setup is expected to support continuous trading availability around the clock, subject to any mandated pauses, along with instantaneous atomic settlement on the Canton Network, whereby both sides of a transaction finalize simultaneously or not at all.

Mark Wendland, Chairman and CEO of Canton Strategic Holdings, noted that tokenization can improve investor access to equity markets while increasing transparency for issuers, and that the Innovation Exemption supplies the structure needed to conduct such activity domestically.

He expressed pride in the company being the first public issuer to collaborate with TSV and Fairmint in developing a compliant platform on Canton, describing the network as purpose-built for regulated financial infrastructure.

Ali Abrar, CEO of TSV LLC, indicated that the venue was the earliest to notify the SEC of its plans under the exemption and aimed for its initial listing to establish a benchmark.

Through the partnership, approved institutional and retail participants can supply liquidity and execute trades at any time, with settlement occurring atomically on Canton.

Joris Delanoue, CEO and co-founder of Fairmint, highlighted that placing public-company shares onchain via Canton opens a fresh phase for equity markets.

He emphasized that Fairmint’s infrastructure embeds official ownership records and transfer controls within a single system, preserving full shareholder rights while retaining issuer oversight.

Canton Strategic Holdings itself functions as both an investor and participant in the Canton ecosystem, acting as a Super Validator and Canton Foundation member to support the network’s integration into conventional financial systems.

The company has leveraged Canton Coin in connection with these efforts. TSV, founded by Ali Abrar and Ryan Trinkle, operates under the temporary exemptive relief outlined in SEC Release No. 34-106402 and is structured for permissioned access with identity verification and sanctions screening enforced via smart contracts.

Fairmint, established in 2019, focuses on bringing equity recordkeeping and liquidity onto shared rails through its Open Cap Table Protocol.

The announcement underscores a step toward compliant, domestic onchain trading of listed equities, with the tokenized CNTN shares intended to mirror conventional ownership while enabling features such as round-the-clock access and atomic settlement. Actual commencement remains subject to the venue satisfying applicable conditions of the exemption.
