Circle to Issue More Shares, Price Tumbles

Shares of Circle (NYSE:CRCL) tumbled today following the news the company was poised to issue more shares. The pending dilution slashed over 6% of the firms value in after hours trading.

Circle, which recently completed a successful IPO, has filed with the SEC its intent to sell up to 10 million additional shares, with the bulk, 8 million shares, coming from selling stockholders. The move is opportunistic as shares have risen dramatically following its public float, which clearly left many millions on the table.

The news followed a good day for the company, which released its Q2 earnings report, which was well received by Wall Street.

Circle reported that its dollar-based stablecoin, USDC, grew 90% year-over-year to $61.3 billion at quarter-end and has increased an additional 6.4% to $65.2 billion as of August 10, 2025.

Total revenue and reserve income grew by 53% year-over-year to $658 million. Net income delivered a $482 million loss, which was attributed to IPO related charges.

Jeremy Allaire, co-founder, CEO and Chairman at Circle, said the results demonstrated their ability to drive sustained growth across multiple use cases.

“Circle’s successful IPO in June marked a pivotal moment—not just for our company, but for the broader adoption of stablecoins and the growth of the new internet financial system. This is an extraordinary moment for our company and industry, and we are seeing accelerating interest in building on stablecoins and partnering with Circle across every significant sector of the financial industry, with major internet companies and commercial engagement all around the world,” said Allaire.

While it has been a choppy week for Circle, the results were good. The company appears to be well-positioned to take advantage of the new regulatory environment for stablecoins, which many view as the future of payments and transfers. The biggest challenge Circle faces is the looming competition, which is moving quickly to capitalize on the new government approvals and guidance for stablecoin issuance and usage.
