The Securities and Exchange Commission (SEC), Small Business Capital Formation Advisory Committee (SBCFAC) will meet this week to discuss initial public offerings (IPOs) and capital formation.
Part of the broader ambition of making IPOs “great again,” as well as improving access to capital, including online capital formation, the SEC is hosting a panel: Modernizing Market Access: Encouraging IPOs and Small Public Company Capital Formation. The panel will consider regulatory reform aiming to reduce capital formation friction for public securities.
The SEC Division of Corporation Finance will review proposed amendments to:
- allow companies to file semiannual reports in lieu of quarterly reports;
- make Form S-3 available to significantly more issuers and extend certain registration and communication benefits;
- enhance accommodations for emerging growth companies and simplify filer status for reporting companies.
The SEC has a mission of investor protection, efficient markets, and access to capital. The last of these goals was largely ignored during the previous administration, but under the leadership of Chairman Paul Atkins, capital formation is once again a target for the securities regulator.
The meeting will start at 10AM ET on Tuesday, July 21, and will be livestreamed to the public on the SEC website.
