Michael Saylor’s Strategy ($MSTR) Suggests Daily Dividend Accrual for Preferred Stocks Including STRC, STRD, STRF, STRK

Strategy Inc. (NASDAQ: MSTR), the Bitcoin treasury company formerly known as MicroStrategy, is asking common shareholders to approve a shift to daily dividend accruals on four of its Nasdaq-listed preferred securities: STRC, STRD, STRF, and STRK.

The board backed the plan on September 24, 2026, and filed a preliminary proxy the next day. A virtual special meeting is set for October 28.

Only Class A and Class B common stockholders of record as of September 25 may vote; preferred holders cannot.

If approved, every calendar day—including weekends and holidays—would become a dividend record date.

Any declared dividend for that date would be paid on the next business day.

Annual coupon rates and Strategy’s total regular payout obligations would stay the same.

The change would only break existing payments into smaller, more frequent installments.

STRC, the variable-rate Stretch preferred currently paying 12% on a $100 stated amount, would convert first.

Its last semi-monthly record date is expected around October 15.

The first daily record date would be November 1, with payment on November 2. STRC already moved from monthly to twice-monthly payments after a June 2026 shareholder vote that passed with overwhelming support.

The three fixed-rate names would finish the year on their existing quarterly calendars, including a December 31 payment, then switch on January 1, 2027.

First payments under the new cadence are expected around January 4. STRF and STRD pay 10% annually; STRK pays 8% and is convertible into common stock. STRE, the euro-denominated preferred, is not included.

Strategy says more frequent accruals should shrink reinvestment lag, improve liquidity, reduce price swings around payment dates, and make the securities more appealing to income-focused investors, institutions, and collateral users.

Executive Chairman Michael Saylor described the goal as supporting price stability, liquidity, and demand.

Company materials also frame daily credits as consistent with “digital credit” that should function every day of the year.

STRC is the largest of the four, with roughly $9.3 billion in notional value.

Its variable rate is adjusted periodically to keep the share price near the $100 target.

It has traded below that level at times, including during mid-year Bitcoin weakness.

Strategy has been buying back preferred shares under an existing repurchase program.

Dividends would still be payable only when declared by the board or an authorized committee from legally available funds.

The amendments would also update the definition of a business day in a way that could later support seven-day payment calendars.

A definitive proxy is expected around October 5, 2026 after which voting can begin. If the amendments pass and the revised certificates of designation become effective, the four securities would stand out for accruing dividends on a 365-day calendar rather than traditional monthly or quarterly schedules.
