Securitize Announces Expansion of Operations to Europe with Investment Firm Approval in Spain

Securitize announced it has obtained approval by the Spanish National Securities Market Commission (CNMV) as an Investment Firm, registering Securitize Europe Brokerage and Markets, S.A. in order to operate as a Sociedad de Valores (broker dealer), providing services for blockchain-based financial assets, including acting as an Entidad Responsable de Inscripción y Registro (ERIR).

Carlos Domingo, Co-founder and CEO of Securitize said:

“Our approval as an Investment Firm and namely the ability to act as an ERIR in Spain is an important milestone for Securitize. With this approval, Securitize can now tokenize, manage, and facilitate the lifecycle of digital securities in Europe, creating new opportunities for issuers to raise capital and for investors to access innovative, blockchain-powered investment opportunities under one unified, regulatory-compliant platform.

The CNMV’s approval highlights the integration of blockchain tech into financial systems under Spain’s legal structure.

This reportedly includes compliance with Spain’s Securities Market Law (Ley del Mercado de Valores) and alignment with European Union regulations “such as MiFID II.”

As an Investment Firm, in addition to acting as an ERIR, Securitize may provide investment services such as tokenization of financial instruments and, “pending approval under the Pilot Regulation, operation of a DLT trading and settlement system, all within a regulated environment that ensures robust investor protection and operational transparency.”

As covered, Securitize, the firm focused on tokenizing real-world assets, is bringing the world on-chain through “tokenized funds in partnership with top-tier asset managers, such as BlackRock, Hamilton Lane, KKR and others.”

Securitize, via its subsidiaries, is a SEC-registered broker dealer and digital transfer agent, and operator of “a SEC-regulated Alternative Trading System (ATS) and a MiFID-regulated broker-dealer (Sociedad de Valores).”

Assets such as digital assets or tokens using blockchain, are speculative, involve a high degree of risk, are “generally illiquid, may have no value, have limited regulatory certainty, are subject to potential market manipulation risks and may expose investors to loss of principal.”

Securitize, Inc. is a Delaware corporation. Securitize is a technology provider which, together with its affiliates, maintains an “end-to-end web-based platform used by issuers for issuing securities, specifically including digital asset securities.”

Securitize, LLC is a “transfer agent” registered with the U.S. Securities and Exchange Commission.

Securitize Markets also operates Securitize Markets ATS, which is an alternative trading system.

Securitize Capital, LLC is an “exempt reporting adviser” filed with the State of Florida.

Securitize Europe Brokerage and Markets, S.V., S.A. is a broker-dealer (Sociedad de Valores) registered with the Spanish National Securities Market Commission (CNMV).
