Global law firm Seyfarth Shaw recently gave a presentation reviewing the Securities and Exchange Commission’s (SEC) proposed regulations regarding Title III of the JOBs Act – specifically “retail” or “popular” crowdfunding. These proposed regulations are now accepting comments on the SEC web site.
While these regulations may be altered and were only recently released, the Seyfarth Shaw presentation is an excellent legal overview of the Title III regulatory environment as it stands today. Anyone interested in a detailed interpretation regarding crowdfunding should watch the video presentation below.
The topics covered are:
- What is crowdfunding?
- Primary Participants (Issuers, Investors and Intermediaries)
- Disclosure Requirements
- Offering Regulations
- Intermediary Regulations
- Bank Secrecy Act Requirements and Fraud Prevention
The presentation is delivered by David Warburg, Partner, Securities Practice, Georgia Quinn, Associate,
Corporate / Securities Practice and Michael Dunn, Vice Co-Chair, Securities Practice.
A sincere thank you to the Law Firm of Seyfarth Shaw in making these slides and presentation available to Crowdfund Insider.
