Real estate investment platform Small Change is looking to raise growth capital, and they are utilizing Wefunder to pursue new investors.
According to the offering page, Small Change hopes to raise up to $1.07 million by offering a SAFE with a valuation cap of $9 million. This means investors will be able to gain equity at a priced round of not less than $9 million (for early bird investors). According to the offering document, Small Change may use part of the funds raised to pursue a Reg A+ offering, an exemption that allows the issuer to raise up to $75 million.
Small Change is a real estate crowdfunding platform that offers securities under Reg CF. Developers seek funds to pursue property projects around the US. The platform also allows these projects to pair offerings with a Reg D 506c offering – an exemption that caters to accredited investors but convenient if the investment is for more than $5 million. More recently, Small Change also indicated it was able to list real estate projects under Reg A+.
Small Change is one of a handful of platforms that lists securities offerings for real estate investments under Reg CF – meaning smaller investors can participate in these investments.
To date, Small Change reports 41 projects raising $10 million, having returned approximately $2 million to investors. Small Change reports $85 million in the pipeline for real estate offerings.
Real estate investments are frequently presented as an opportunity with less risk than early-stage private firms.
As of today, 48 investors have committed over $103,000 to the offering.
