Legora files a Form D for its $550M Series E, reporting $220.8M sold so far

    Form D · Rule 506(b) · Equity · $550M offering · $220,820,026 sold, $329,179,974 remaining · 44 investors · First sale Oct 20, 2026 · Delaware corporation (2023) · Legal AI software · Filed Nov 4, 2026

Legora, the legal AI company led by CEO Max Junestrand, filed a Form D on Wednesday for a $550 million equity offering under Rule 506(b), matching the Series E it announced on October 21 at an $8.8 billion post-money valuation. The notice reports $220.8 million sold to 44 investors so far, with about $329.2 million still to close, and a first sale dated October 20. It is Legora's fourth Form D since mid-2025.

    View on DisclosureQuest →

Form D figures track what has actually closed, so the gap between the $550M headline and the $220.8M reported sold shows the round is still being funded in tranches. Legora says the new money takes total funding past $1.4B and follows a $5.6B valuation in its prior round about six months ago, a pace that keeps legal AI among the most heavily funded private software categories this year.

Doroni Aerospace moves to lift its DealMaker-run Reg A+ raise to the $75M cap

    Form 1-A/A (post-qualification amendment No. 2) · Reg A Tier 2 · Series Seed-3 Preferred at $3.72 · Up to 7,169,101 more shares (incl. 1,194,850 bonus shares), about $27.4M · $75M aggregate including the prior qualified tranche · $1,000.68 minimum plus 3.5% fee · DealMaker Securities · Coral Springs, FL · Filed Nov 4, 2026

Doroni Aerospace, the Coral Springs, Florida developer of the two-seat H1-X personal eVTOL aircraft, filed a post-qualification amendment on Wednesday morning to raise its Regulation A Tier 2 offering to the $75 million annual limit. The amendment adds up to 7,169,101 Series Seed-3 Preferred shares at $3.72, about $27.4 million including bonus shares, after the company reported issuing 14,382,918 of the 16.8 million shares previously qualified as of October 26. DealMaker Securities is the broker-dealer, and the new shares can't be sold until the SEC qualifies the amendment.

Doroni is pre-revenue, and the filing’s financial summary shows about $13.4M in cash, $14.7M in total assets and a net loss of about $8.5M, with 2 full-time and 5 part-time employees. A company coming back to lift a nearly sold-out Reg A+ round, at a higher price, is one of the clearer demand signals in online capital formation; it lands on a day when risk appetite is strong in public markets after the midterm results.

AE Industrial Partners BR Fund files a new Form D with $851.3M already sold

Form D (new) · Rule 506(b) · Pooled investment fund (private equity) · Indefinite offering, $851.29M sold · 38 investors · First sale Oct 26, 2026 · Harris Williams LLC (sales compensation) · Boca Raton, FL · Filed Nov 3, 2026

AE Industrial Partners BR Fund, LP, a Boca Raton, Florida private equity vehicle formed in 2026, filed its first Form D on Tuesday evening reporting $851.3 million sold to 38 investors on an indefinite Rule 506(b) offering. The first sale is dated October 26, 2026, Harris Williams LLC is listed as a sales-compensation recipient, and Michael Greene and David Rowe are named as executive officers and promoters.

Most new fund notices report little or nothing sold; this one arrived with more than $850 million already placed with a small institutional investor base. Industrials sentiment has been running in line with the broader market, and the private-capital backdrop is mixed, with listed alternative managers such as KKR seeing weaker sentiment over the past month.

Dawson Portfolio Finance 7 updates three vehicles at about $6.15B sold combined

Form D/A (x3) · Rule 506(b) · Pooled investment funds (private equity) · Main fund $4.95B sold to 34 investors; Offshore $949.5M to 23; Co-Invest $250.1M to 3 · Placement: GenCap Global Advisors, PG Capital, GreensLedge Capital Markets, Jasmin Capital · Toronto, ON · Filed Nov 3, 2026

Toronto-based Dawson Partners amended the Form D filings for three Dawson Portfolio Finance 7 vehicles on Tuesday evening, reporting about $6.15 billion sold across them on indefinite Rule 506(b) offerings. The main fund lists $4.95 billion from 34 investors, the offshore fund $949.5 million from 23, and the co-invest vehicle $250.1 million from 3, with first sales dated November 6, 2025 and Yann Robard named as executive officer.

The largest dollar figures in the overnight feed, though these are cumulative amendments a year into the fund’s raise rather than new offerings. Treasury yields fell this morning after the midterm results, which tends to support demand for yield-oriented private strategies.

Fundomo files three new fully sold venture funds totaling $184.7M from Keene, NH

    Form D (x3 new) + D/A (x2) · Rule 506(b) · Pooled investment funds (venture capital) · ME-003 $118.49M sold to 19 investors; Morningstar $41.34M to 44; FA-002 $24.85M to 17 · Minimums $2,063 to $12,500 · Keene, NH · Filed Nov 3, 2026

Fundomo, based in Keene, New Hampshire, filed first-time Form Ds for three venture fund vehicles on Tuesday evening, each reporting its full offering sold: Fundomo ME-003 at $118.5 million from 19 investors, Fundomo Morningstar at $41.3 million from 44 and Fundomo FA-002 at $24.8 million from 17. The firm also amended filings for Fundomo Flagship ($381 million sold to 132 investors) and Fundomo Fund II ($87.4 million to 74), with Corey Nobile and Siranush Nobile listed as executive officers on all five.

    View on DisclosureQuest →

A cluster of fully sold vehicles with low minimums is unusual for venture funds, which more often report partial closes. Venture appetite is being tested by the Nasdaq-100’s correction and new worries about AI regulation after Democrats won control of Congress.
